The contract is concluded in Hungarian; an English version is provided upon request, with the Hungarian text prevailing in the event of any discrepancy.

5. Fees, invoicing and payment terms

The service is provided for a fixed monthly fee per property. The amount is set out in the price list published on the sales website or in the individual order.

  • The fee is calculated per property and is payable in advance at the beginning of each month.
  • The Provider issues and sends invoices electronically to the e-mail address provided by the Customer.
  • The fee does not cover the following: cleaning fee, in-room consumables (coffee capsules, toilet paper, linen washing and ironing), maintenance and repairs, professional photography (optional extra), and any state fees (NTAK / VIZA / IFA, where applicable).

  • In case of late payment, the Provider is entitled to default interest and a flat-rate collection fee under the Hungarian Civil Code; if the delay exceeds 30 days the service can be suspended unilaterally.
  • The Provider may amend the service fee at least once a year by no more than the higher of: the annual consumer price index (CPI) for the previous calendar year as published by the Hungarian Central Statistical Office, or 5%. The change is notified at least 30 days in advance and the Customer may exercise the right of termination.

6. Customer obligations and warranties

During the term of the contract the Customer undertakes to:

  • Provide accurate and truthful data about the property (ownership, right to short-term let, accommodation registration, utility access).
  • Ensure that the property is in proper condition for hosting (safety, working services, cleaned state).
  • Hand over the data, property identifiers and credentials required for NTAK reporting in good time.
  • As the controller of guest data, inform guests of data processing (own privacy notice, guest book information).
  • Use the guest data made available to the Provider only for the purposes necessary to provide the guest service and meet legal obligations.
  • Fulfil any other legal obligations (e.g. company filings, tax returns, accounting); the Provider supports these only within the scope of the ordered services.
  • Refrain from any conduct that would violate the rights of the Provider, guests or third parties (e.g. misleading advertising, unlawful pricing or administrative practices).

The Customer expressly acknowledges that the listings, the condition of the property and the accommodation contracts entered into with guests are primarily the owner's responsibility; the Provider performs technical/operational and processor tasks in connection with these.

7. Provider obligations and warranties

The Provider undertakes to perform the service with the diligence reasonably expected and in line with industry practice, in particular:

  • Maintain over 99% monthly platform availability (excluding planned maintenance and force majeure).
  • Average response time of 1–2 minutes to guest messages, 24/7 support.
  • Timely fulfilment of NTAK, VIZA / TIM and IFA reporting obligations, provided the Customer provides the required data on time.
  • Human review of AI-generated guest replies in areas where an erroneous answer could cause significant harm to the guest or the Customer.
  • Transparent settlement of the Customer's revenue, with reports accessible via the owner portal.
  • Processing personal data in accordance with the Privacy Notice and the DPA.

8. AI and LLM-specific terms

Artificial intelligence is a key element of the service in generating guest replies, performing operational tasks and producing reports. The following specific rules apply:

  • AI-generated replies may be produced automatically, but every decision that may have legal effects on the guest or the Customer (e.g. booking refusal, security deposit hold) requires human approval.
  • The Provider uses AI providers (e.g. OpenAI) via their API platforms, where content sent through the API is – by default – not used to train the providers' models.
  • The Provider may use data for training its own AI models only in aggregated, anonymised form, or with consent given by the owner under a separate agreement. Without owner approval, guest communication is not used for model training.
  • AI-generated content can contain errors (hallucinations, incorrect data). The Provider mitigates these via industry protocols (context filtering, verification prompts, human review) but cannot completely eliminate them.
  • The Customer acknowledges that data processed in guest communication may pass through the systems of the processors listed in section 8 of the Privacy Notice (e.g. OpenAI, USA); such transfers are subject to the appropriate safeguards under the GDPR (DPF, SCC).
  • The Provider reserves the right to develop, replace or upgrade the AI models used without prior notice to the Customer, provided this does not impair the quality of the service or breach data-protection requirements.

9. Data protection and the DPA

With respect to personal data concerning guests, the Customer (Owner) is the controller and the Provider is the processor under Article 28 GDPR. The detailed rules are contained in the Data Processing Agreement (DPA) attached to or referenced by these Terms; its main points are:

  • The Provider processes data only on the documented instructions of the Customer, save where required to do so by law (e.g. mandatory NTAK and VIZA reporting).
  • The Provider may engage sub-processors (the detailed list is in the Privacy Notice). The Provider notifies the Customer in advance of material changes to the list, who may object.
  • In case of a personal data breach, the Provider notifies the Customer without undue delay – at the latest within 36 hours – and assists with reporting to the NAIH and informing the data subjects.
  • Upon termination of the contract, the Provider returns or deletes the data within 30 days as elected by the Customer, save where retention is required by law.
  • The Customer may request appropriate evidence of the Provider's data-protection audit (latest audit report, security certifications); the audit frequency is once per year, by mutual agreement.
Detailed data-protection rules are set out in the Privacy Notice; these Terms expressly refer to it and form an inseparable part of the contract.

10. Intellectual property and licences

  • The platform's software components, the DavidBnB name and trademarks, the AI system, templates and documentation are the intellectual property of the Provider or are used by the Provider lawfully.
  • For the term of the contract the Customer obtains a non-exclusive, non-transferable, limited right to use the platform for operating its own properties.
  • Content uploaded to the platform by the Customer (property descriptions, photos, house rules) is owned or lawfully held by the Customer; the Customer grants the Provider a usage right to the extent necessary to deliver the service.
  • Reverse engineering, modification, copying or transferring the platform to a third party is prohibited, except where expressly permitted by law.

11. Confidentiality

The Parties mutually undertake not to disclose to third parties business secrets, know-how and confidential information learned during the performance of the contract – save for mandatory reporting to authorities – and to use such information only in connection with the performance of the contract. The confidentiality obligation survives the termination of the contract for 5 years.

12. Limitation of liability

The Provider's liability for damage caused intentionally, by gross negligence or by harm to life, bodily integrity or health cannot be limited. In other cases the following rules apply:

  • The Provider's liability is limited to the service fees actually paid for the affected property in the last 12 months.
  • The Provider is not liable for damages arising from errors of AI models, booking channels (Airbnb, Booking.com) or third-party providers (e.g. hosting, e-mail, payment), provided that the Provider acted with the diligence that may reasonably be expected.
  • The Provider is not liable for damages arising from inaccurate or incomplete information provided by the Customer or from the Customer's breach of regulatory requirements.
  • The Provider does not assume liability for disputes between the guest and the Customer (as host) arising from the accommodation contract.
  • During force majeure events (natural disaster, pandemic, strike, official measures, nationwide outage of internet services), the Provider's liability is limited to taking reasonable recovery measures.

13. Term and termination

  • The contract is concluded for an indefinite period without lock-in.
  • Either party may terminate the contract in writing, without giving reasons, with 30 days' notice.
  • The Provider is entitled to immediate termination if the Customer: (a) fails to pay the service fee for more than 30 days even after a reminder; (b) seriously or repeatedly breaches the Terms; (c) engages in conduct that harms the Provider's reputation, is unlawful or unfair towards guests.
  • The Customer is entitled to immediate termination if the Provider seriously or repeatedly breaches its contractual obligations and fails to remedy them within 30 days of a written notice.
  • Within 30 days after termination, the Provider settles with the Customer, provides the necessary reports and handles the data as set out in the DPA (return or deletion).

14. Force majeure

A force majeure event is an unavoidable, unforeseeable external cause beyond the Provider's control, in particular natural disasters, epidemics, official measures, war, strike, or nationwide outages of energy or internet services. During force majeure the Parties' contractual obligations are suspended; the Parties mutually mitigate the impact. If force majeure persists for more than 60 days, either Party may terminate the contract with immediate effect.

15. Complaint handling and consumer information

Complaints can be reported by the Customer at [email protected] or [email protected], or by post (4033 Debrecen, Fülöp utca 4., Hungary). The Provider investigates and responds within 30 days.

Where the Customer qualifies as a consumer (Section 8:1 (1) 3 of the Hungarian Civil Code), they may turn to the following bodies for any consumer complaint:

  • Hajdú-Bihar County Conciliation Board (4025 Debrecen, Vörösmarty u. 13-15.) – conciliation.
  • The consumer-protection unit of the district office competent for the consumer's place of residence.
  • European Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

16. Governing law and dispute resolution

These Terms and the contracts concluded between the Parties are governed by Hungarian law, in particular the Civil Code, the GDPR and sector-specific laws. The Parties seek to resolve their disputes primarily through negotiation; if this fails within 30 days, they agree on the exclusive jurisdiction of the Debrecen District Court or, depending on competence, the Debrecen Regional Court.

This provision does not affect the legal framework arising from mandatory EU consumer protection rules where the Customer qualifies as a consumer.

17. Amendment of the Terms; final provisions

  • The Provider reserves the right to amend these Terms unilaterally. Amendments are notified to the Customer at least 15 days before they take effect (by e-mail or in the owner portal). Until the amendment takes effect, the Customer may terminate with immediate effect; in the absence of such termination the amendment is deemed accepted.
  • If any provision of these Terms is found to be invalid, this does not affect the validity of the remaining provisions; the invalid provision shall be replaced by a valid provision agreed by the Parties that comes closest to the economic and legal purpose of the invalid one.
  • The Parties agree that any legal statement related to the contract shall be made in writing in a verifiable form (e-mail, registered letter, electronically signed document).
  • These Terms must be read together with the Privacy Notice and the DPA.
